Zelle Pay Terms and Conditions

If we process a transaction in accordance with your instructions that exceeds your account with us, we may charge a fee or charge interest on that overdraft in accordance with the terms of the deposit agreements. We will not be responsible for non-payment of a transfer request unless it is credited to the available balance on the specified account. You are responsible for paying all telephone or utility company charges and/or Internet access charges incurred when using telephone lines and/or Internet access services to connect to the Service. These Terms of Use are governed by the same laws that govern your account relationship with us, as explained in the Deposit Agreements and Terms of Use. In all cases where you are not subject to the Deposit Agreements or the User Agreement, or if the terms of the Deposit Agreement or User Agreement are not deemed to apply, (i) the laws of the State of Ohio shall apply to the exclusion of its conflict of laws rules for these Terms of Use, and (ii) you hereby irrevocably agree that any claim or dispute arising out of or related to these Terms of Use shall prevail. That is why we have tabled a motion for a resolution asking the Commission and the Member States of one of the competent federal or state courts in the Northern District of Ohio, Eastern Division, or Cuyahoga County, Ohio, USA. Please read this addendum carefully. By accepting this Addendum or by using or accessing the Transfer Service, you agree to the terms of this Addendum and the OAA. This Addendum and the OAA include, but are not limited to: Subject to applicable law, Zelle may modify or modify this Service Agreement (including applicable fees and service fees) from time to time in its sole discretion by posting the updated Terms in the Cell®® Mobile Application and zellepay.com (each individually or collectively referred to as: the “Site”). Please access and review this Service Agreement regularly. If at any time you find the Service Agreement unacceptable to you, immediately cancel your profile and registration with Zelle and immediately stop using the Service®.

Your continued access to or use of the Zelle Website® as a result of any addition, modification or modification of the terms of this Service Agreement constitutes your acceptance and acceptance of such supplement, modification or modification. Unless otherwise stated in this Addendum, terms defined in the OAA have the same meanings in this Addendum. This Southern First with Cell (R) Service Agreement and Privacy Policy (this “Agreement”) contains the terms that govern your use of the Southern First with Zelle (R) Service. As used herein, the terms “bank”, “we”, “us” or “our” refer to Southern First Bank; “You” or “Your” means (1) a person or entity who owns an Account, or (2) an Authorized Signatory of an Account who is authorized to view account information and conduct transactions on that account. It is important to us that you and our other visitors have a particular experience in using the website and that you are fully aware of your respective legal rights and obligations when using this website. For this reason, we have created these Terms of Use (“Terms”) as legally binding terms for your use of this website. PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE WEBSITE, AS THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS. THIS SERVICE AGREEMENT APPLIES TO USERS WHO ARE REGISTERED DIRECTLY WITH ZELLE® FOR ACCOUNTS THAT ARE NOT HELD WITH A FINANCIAL INSTITUTION IN THE NETWORK. If you send and receive money through the Service using a bank account held with a financial institution that is not a network financial institution (as defined above), this Service Agreement applies.

If you send and receive money through the Service with a bank account with a financial institution in the network (as defined above), that financial institution`s Terms of Use will apply. If you use, access or authorize any other person or entity to whom you have delegated to act on your behalf to use or access the Service, you agree to the terms of this Agreement. We may modify or modify this Agreement (including applicable fees and service fees) from time to time in our sole discretion by sending you written notice by email, mail, or by posting the updated Terms on the Service Sites (the “Sites”). Please access and review this Agreement regularly. If at any time you find the Agreement unacceptable to you, please stop using the Service. Your use of the Service after we have made such changes will be deemed your consent to the change. You agree that, unless otherwise provided by applicable laws or regulations, we may terminate all or part of your access to the Transfer Service at any time. In the event that (i) you breach the terms of this Addendum or the OAA, (ii) there are suspected or confirmed unauthorized or fraudulent transactions related to your Financial Account, Deposit Account or use of the Transfer Service, or (iii) we have problems with your use of the Transfer Service, you agree that we may suspend or terminate your access to the Transfer Service at any time. Where appropriate, we may rely on exceptions to the provisions of this section discussed in Regulation E.

All terms in this section that are not defined in this addendum but are defined in Rule E have the meaning specified in Rule E. Cellular platforms, such as the standalone cell mobile app and zellepay.com website, are additional platforms that are owned and controlled by Cell and that allow you to use the service. In addition to and without limiting the terms and conditions contained in this Agreement, you agree to the following: We may provide additional or new features for the Transfer Service from time to time. You will be approved or rejected for such additional Service in our sole discretion, and additional terms may apply. We may at any time refuse any transfer transaction that we believe violates applicable law. You acknowledge and agree that you are personally responsible for your conduct while using the Zelle Service, and except as otherwise provided in this Service Agreement, you also agree to assist Zelle, its owners, directors, officers, agents and financial institutions in the network against all claims, losses, expenses®®, damages and costs (including, but not limited to: direct, incidental, consequential, exemplary and indirect damages) and reasonable attorneys` fees arising out of your use, misuse or inability to use the Service or any breach by you of the terms of this Service Agreement. You acknowledge that neither Zelle nor the financial® institutions in the network will be held responsible for your failure to comply with the terms of your account agreement with your financial institution. .
